1. Acceptance of Terms

By accessing or using the ImpactMeL platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. The Service

ImpactMeL provides a cloud-based Monitoring, Evaluation & Learning (M&E) platform for development organizations, NGOs, government agencies, and related entities. The Service includes results framework management, indicator tracking, participant data management, reporting tools, analytics, and associated APIs and integrations.

We reserve the right to modify, suspend, or discontinue features of the Service with reasonable notice, except where urgent security or legal reasons require immediate action.

3. Accounts & Access

You are responsible for maintaining the security of your account credentials. You must notify us immediately at security@impactmel.com of any unauthorized access.

Organizations are responsible for all users operating under their account. You must not share login credentials or allow unauthorized users to access the Service. We may suspend accounts where we detect unusual or potentially harmful activity.

4. Acceptable Use

You agree not to use the Service to:

- Upload, transmit, or store content that violates any applicable law or regulation - Process personal data of individuals without appropriate legal basis or consent - Attempt to gain unauthorized access to any part of the Service or its infrastructure - Conduct denial-of-service attacks, penetration testing, or vulnerability scanning without prior written authorization - Reverse engineer, decompile, or attempt to extract source code from the Service - Use the Service to store or transmit malicious code - Misrepresent your organization's identity or the nature of programs being managed

Violations of this section may result in immediate account suspension.

5. Data Ownership & License

You retain all rights, title, and ownership of the data you input into ImpactMeL ("Customer Data"), including all M&E program data, indicator values, beneficiary records, and uploaded documents.

You grant ImpactMeL a limited, non-exclusive license to process Customer Data solely to provide the Service. We do not claim ownership of your data and will not use it for purposes beyond service delivery.

Upon account termination, you may export your data for 90 days. After that period, data is permanently deleted per our retention policy.

6. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information received from the other party in connection with the Service. ImpactMeL staff with access to Customer Data are subject to confidentiality agreements.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known without breach of these Terms; (b) was rightfully known before disclosure; (c) is required to be disclosed by law or court order.

7. Security & Compliance

ImpactMeL maintains SOC 2 Type II certification and implements commercially reasonable technical and organizational security measures. We conduct annual third-party security audits and bi-annual penetration tests.

In the event of a security incident affecting Customer Data, we will notify affected customers within 72 hours of discovery, consistent with applicable data protection laws.

Enterprise customers may request a copy of our most recent SOC 2 report and penetration test executive summary under a non-disclosure agreement.

8. Service Availability

ImpactMeL targets 99.9% monthly uptime for the core platform, excluding scheduled maintenance windows (communicated at least 48 hours in advance).

Scheduled maintenance is typically performed outside business hours in the customer's primary time zone. We provide a status page at status.impactmel.com with real-time and historical uptime information.

Service credits may be available for enterprise customers when uptime falls below contracted SLA levels, as specified in individual service agreements.

9. Intellectual Property

ImpactMeL and its licensors retain all rights to the Service, including its software, design, documentation, and branding. Nothing in these Terms transfers any intellectual property rights to you except the limited license to use the Service.

Feedback, suggestions, or ideas you provide about the Service may be used by ImpactMeL without obligation or compensation.

10. Termination

Either party may terminate these Terms by providing 30 days written notice. ImpactMeL may immediately suspend or terminate your access for material breach of these Terms, non-payment, or conduct that endangers the platform or other users.

Upon termination, your right to use the Service ends. You may export Customer Data during the 90-day post-termination window. ImpactMeL will permanently delete Customer Data after this period, except where retention is required by law.

11. Warranty Disclaimer

The Service is provided "as is" and "as available." To the maximum extent permitted by law, ImpactMeL disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ImpactMeL's total liability for any claim arising under these Terms shall not exceed the amounts paid by you for the Service in the twelve months preceding the claim.

In no event shall ImpactMeL be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Some jurisdictions do not permit limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

13. Governing Law

These Terms are governed by the laws of Kenya for customers based in Africa; by the laws of England and Wales for customers based in Europe, Middle East, and Asia; and by the laws of the State of Delaware, USA for customers based in the Americas — in each case without regard to conflict of law principles.

Disputes shall first be attempted to be resolved through good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration in the applicable jurisdiction.
